ASX Announcement 30 September 2026
AI-Media Announces
On-Market Share Buy-Back
Sydney, Australia, 30 September 2026: Ai-Media Technologies Limited (AI-
Media or the Company) (ASX: AIM) today announces its intention to undertake
an on-market share buy-back of up to 20,800,000 fully paid ordinary shares,
representing up to 9.9% of the Company’s current issued share capital (the “Buy-
Back”).
The Buy-Back will be conducted within the “10/12 limit” permitted under section
257B of the Corporations Act 2001 (Cth), which allows a company to buy back up
to 10% of its smallest number of voting shares on issue during the previous 12
months without shareholder approval. As at the date of this announcement, AI-
Media has 210,206,965 ordinary shares on issue.
Purchases under the Buy-Back may commence no earlier than 26 October 2026.
The Buy-Back will remain open for up to 12 months and is scheduled to close on
25 October 2027. Any purchases remain subject to the Board’s discretion. The
Company has appointed Morgans Financial Ltd to act on its behalf. Shares will be
bought back at prevailing market prices, and all shares acquired will be cancelled.
The Buy-Back will be funded from the Company’s existing cash reserves.
An Appendix 3C has been lodged.
Board discretion
The maximum of 20,800,000 shares is an upper limit only. The Board retains full
discretion over whether, when and how many shares are bought back, having
regard to the Company’s share price, market conditions, capital requirements,
growth opportunities and other factors the Board considers relevant. Any
purchases will be made in accordance with the Company’s internal policies and
guidelines, including its Securities Trading Policy. The Company is under no
obligation to acquire any shares, and may vary, suspend or terminate the Buy-
Back at any time.
Rationale
The Board considers that, when deployed at the appropriate time, an on-market
Buy-Back is an effective use of capital and an efficient way to return value to
2 | P a g e
shareholders. The Buy-Back provides the Company with flexibility to act where it
believes the market price does not reflect the underlying value of the business,
while preserving the balance sheet strength needed to execute its strategy.
This announcement has been authorised for release by the Board of AI-
Media Technologies Limited.
